Universal provides this Site to you subject to these Terms of Use and the Universal Privacy Policy. This Site is provided for your information and as a means to access certain products and services provided by Universal or its Affiliates. Your use of any product or service accessed through this Site is governed by your agreement(s) with Universal or its Affiliate applicable to the product or service. As with any website, information on this Site may contain typographical errors or other inaccuracies and Universal may change or update the Site, including, without limitation, to correct errors and inaccuracies. In the event of a conflict between these Terms of Use and any product or service-specific agreement or disclosure, the product or service-specific agreement or disclosure will prevail other than with respect Universal’s provision of the payment service on this Site.

Universal and its Affiliates shall not be liable for any delay or failure to perform or delivery of any product or service, or for any damages suffered by you by reason of such delay or failure, directly or indirectly caused by or arising from acts of God, acts of public enemies, riots, acts of governmental agencies, labor difficulties, failure of our suppliers, equipment or service malfunction, or any other cause or causes beyond the reasonable control of Universal, whether or not similar to those enumerated herein.

Miscellaneous
These Terms of Use and the Universal Privacy Policy contain yours and Universal's entire agreement regarding your use of this Site, except that your separate agreement(s) cover any Universal or Affiliates products or services you access through this Site. If any provision of these Terms of Use is deemed to be illegal or unenforceable, such illegality or unenforceability will not affect the validity or enforceability of any other provisions of these Terms of Use, which together will be construed as if such illegal or unenforceable provision had not been included in these Terms of Use. Nothing contained in these Terms of Use will be deemed to constitute Universal or you as the agent or representative of the other or as joint venturers or partners. These Terms of Use will be binding upon the successors, legal representatives and permitted assigns of you and us. You must not transfer any of your rights or obligations under these Terms of Use to anyone else without our prior written consent. All of our rights and obligations under these Terms of Use are assignable by us. Our failure to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision and any such waiver is effective only if in writing and signed by us.
